Acceptance of Terms

Welcome to LeafyWings Technology. By accessing our website or utilizing our specialized IT services, software products, or consultancy, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms and Conditions. These terms constitute a legally binding agreement between you (the "Client" or "User") and LeafyWings Technology. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.

Scope of Services

LeafyWings Technology specializes in providing comprehensive digital solutions, which include but are not limited to:

• Web Development: Custom website design, e-commerce platforms, CMS integration, and theme/plugin development.
• Mobile App Development: Native and cross-platform application development for iOS and Android.
• SaaS Products: Subscription-based software solutions hosted and maintained by us.
• Standalone Applications: Independent software systems tailored for desktop or enterprise environments.
• Integration Services: Payment gateway APIs, SMS provider integrations, and third-party software connections.
• Consulting: Technical auditing, digital marketing strategy, and product roadmap planning.

Project Management and Delivery

For custom development projects, the following rules apply:

• Requirements: All project requirements must be finalized and documented before the commencement of the development phase. Any changes requested after this point may incur additional costs and extend timelines.
• Timelines: Delivery dates provided are estimates. While we strive to meet all deadlines, LeafyWings Technology is not liable for delays caused by third-party services, technical complexities, or the Client's delay in providing feedback or required assets.
• Feedback: The Client agrees to provide timely feedback on milestones. Failure to respond within five (5) business days may result in project suspension.

Payment, Billing, and Taxes

Our billing practices are transparent and structured:

• Service Fees: Fees for services are quoted based on the specific scope. A non-refundable advance (as specified in the quote) is required to start any project.
• SaaS Subscriptions: Billed on a recurring basis (monthly or annually). Failure to pay will result in automatic service suspension.
• Late Payments: Accounts unpaid for more than fifteen (15) days after the invoice date may be subject to a late fee of 1.5% per month.
• Taxes: Unless otherwise stated, all fees are exclusive of applicable taxes, which remain the responsibility of the Client.

Intellectual Property Rights

Retained Rights: LeafyWings Technology retains all rights, title, and interest in its proprietary frameworks, base code, libraries, and tools used to build the final product.

Delivered Assets: Upon full payment, the Client is granted a non-exclusive, non-transferable license to use the final delivered code for its intended business purpose. Any redistribution or resale of the underlying source code is prohibited unless explicitly agreed upon in writing.

Support and Maintenance

Standard delivery includes a thirty (30) day support period for bug fixes related to the original scope. Extended maintenance, updates, or changes requested after the warranty period will require a separate Maintenance & Support contract.

Limitation of Liability and Indemnification

In no event shall LeafyWings Technology be liable for any indirect, special, or consequential damages (including loss of data, profit, or business interruption). Our total liability for any claim arising out of this agreement shall not exceed the amount paid by the Client for the specific service during the preceding three (3) months.

The Client agrees to indemnify LeafyWings Technology against any claims or legal actions resulting from the Client’s use of the software for illegal purposes or infringement of third-party copyrights through content provided by the Client.

Confidentiality

Both parties agree to keep all sensitive business information, project details, and technical data strictly confidential and not disclose it to any third party without prior written consent.

Termination of Agreement

Either party may terminate the agreement with written notice if the other party breaches any material term. Upon termination, the Client must pay for all work completed up to the termination date. LeafyWings Technology reserves the right to terminate SaaS subscriptions for violations of our Fair Use Policy.

Governing Law & Jurisdiction

These Terms and Conditions shall be governed by and interpreted under the laws of India. Any disputes arising out of this agreement shall be subject to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu.
